Terms and Conditions for Platform Administrator Account

These Terms and Conditions ("Terms") govern the use of the Platform Administrator account ("Admin Account") on the Edge by Citrus SaaS webapp ("Platform"). By accessing or using the Admin Account, you, as an authorized administrator, agree to comply with these Terms and all applicable laws and regulations of Kenya as of 2025.


1. Introduction

The Admin Account is provided exclusively to authorized personnel responsible for managing and maintaining the Edge by Citrus Platform. This account grants privileged access to user management, data handling, platform customization, and security controls. These Terms define the scope, responsibilities, and limitations associated with the use of the Admin Account.

Purpose and Scope

The Platform Administrator account is designed to provide authorized personnel with the necessary tools and privileges to effectively manage all aspects of the Edge by Citrus platform, including user accounts, data management, security configurations, and system maintenance.

Key Terms & Definitions

"Admin Account"
The Platform Administrator account with elevated privileges on the Edge by Citrus platform.
"Platform"
The Edge by Citrus SaaS webapp and all associated services, databases, and functions.
"Administrator"
An authorized user with access to the Admin Account.
"Citrus Labs"
The legal entity that owns and operates the Edge by Citrus platform.

2. Acceptance of Terms

Binding Agreement

By accessing or using the Admin Account, you confirm that you have read, understood, and agree to be bound by these Terms.

This agreement constitutes a legally binding contract between you, the Administrator, and Citrus Labs. Your acceptance is indicated by your use of the Admin Account, and no physical signature is required.

Conditional Access

Continued use of the Admin Account constitutes ongoing acceptance of any updates or modifications to these Terms.

Citrus Labs reserves the right to modify these Terms at any time. When material changes are made, administrators will be notified via email and/or through platform notifications. Your continued use of the Admin Account following any changes indicates your acceptance of the modified Terms.


3. Administrator Responsibilities

Conduct and Ethics

Administrators must act with integrity, professionalism, and in accordance with all organizational policies and applicable laws. Misuse of administrative privileges is strictly prohibited.

You are expected to maintain the highest standards of professional conduct when using the Admin Account. This includes respecting user privacy, maintaining system integrity, and using administrative privileges only for legitimate business purposes.

Confidentiality

Administrators are responsible for safeguarding all login credentials and must not share them with any unauthorized individuals. All actions taken using the Admin Account are considered official and binding.

You must maintain the confidentiality of your login credentials and immediately report any suspected compromise. Any unauthorized access resulting from your negligence may be your responsibility.

Compliance

You must comply with all internal guidelines, security protocols, and the Data Protection Act, No. 24 of 2019, as well as any subsequent amendments or related regulations.

Compliance includes adhering to data protection principles, implementing appropriate security measures, and respecting user rights as defined by applicable laws and regulations.


4. Access and Permissions

Scope of Access

The Admin Account provides access to manage user accounts, data, platform settings, and system resources. Access is granted based on roles assigned by Citrus Labs.

Your specific access privileges will be determined by your assigned role within the platform. Different administrative roles may have different levels of access and permissions.

Authorized Use

Only actions necessary for platform administration are permitted. Any attempt to access resources beyond your designated authority is prohibited and may result in disciplinary measures.

You must only perform administrative actions that are necessary for your assigned responsibilities. Unauthorized access attempts or actions may be logged and reported.

Monitoring

All activities performed using the Admin Account are subject to monitoring and audit by Citrus Labs for compliance and security purposes.

Citrus Labs reserves the right to monitor, log, and review all actions taken through the Admin Account. This monitoring is conducted to ensure compliance with these Terms and to maintain the security and integrity of the platform.


5. Data Management

Data Handling

Administrators must ensure that data is collected, processed, stored, and disposed of in strict compliance with the Data Protection Act, No. 24 of 2019, and other relevant regulations.

This includes obtaining appropriate consent for data collection, processing data only for legitimate purposes, and implementing measures to protect personal data from unauthorized access or disclosure.

Data Security

Implement secure methods for data import, export, backup, and recovery. Unauthorized or insecure handling of data is strictly prohibited.

You must follow established security protocols when handling data, including encryption for sensitive data transfers, secure backup procedures, and proper access controls.

Confidentiality and Integrity

Maintain the confidentiality, integrity, and availability of all data managed through the Platform. Ensure that any data transfers or sharing follow approved protocols.

You are responsible for preserving the accuracy and completeness of data under your management. Any data sharing must be conducted through secure channels and only with authorized parties.


6. Intellectual Property

Ownership

All intellectual property rights, including any content, software, documentation, and data managed or created using the Admin Account, remain the exclusive property of Citrus Labs.

This includes but is not limited to trademarks, copyrights, patents, and trade secrets associated with the platform. No rights are transferred to administrators or users of the platform.

Usage Rights

Administrators are granted a limited right to access and manage intellectual property solely for the purpose of platform administration. No rights are transferred to the administrator.

Your ability to use, modify, or access intellectual property is limited to what is necessary for your administrative role. You may not use Citrus Labs' intellectual property for any other purpose without explicit written permission.


7. Security and Compliance

Security Protocols

Administrators must implement robust security measures, including multi-factor authentication, strong password policies, and regular security audits.

Multi-factor Authentication

All Administrator accounts must use multi-factor authentication. This provides an additional layer of security beyond passwords alone.

Password Policies

Administrators must adhere to strong password requirements, including minimum length, complexity, and regular rotation periods.

Security Audits

Regular security assessments and audits must be conducted to identify and remediate potential vulnerabilities.

Compliance Obligations

Ensure that all administrative actions adhere to the Data Protection Act, No. 24 of 2019, and other applicable laws. Non-compliance may result in the revocation of administrative privileges.

Administrators must stay informed about relevant regulatory requirements and ensure that the platform's operation remains compliant with all applicable laws and regulations.

Incident Reporting

Immediately report any security breaches, suspicious activities, or policy violations to Citrus Labs' designated security team.

Timely reporting of security incidents is critical to minimize potential damage. Administrators must follow established incident response procedures and provide all relevant information to support investigation and remediation efforts.


8. Payment and Billing

Administrative Fees

Any fees or charges related to the use of the Admin Account, including subscription fees or billing cycles, will be governed by separate administrative billing agreements provided by Citrus Labs.

Detailed fee schedules and payment terms will be outlined in your organization's service agreement with Citrus Labs.

Billing Cycles and Taxes

Billing is conducted according to the terms set forth in the administrative agreement, and applicable taxes will be applied as required by law.

Payment cycles may be monthly, quarterly, or annual depending on your service agreement. All applicable taxes will be calculated and included in invoices as required by Kenyan tax regulations.

Dispute Resolution

Any disputes related to billing must be resolved in accordance with the procedures outlined by Citrus Labs' billing policies.

Billing disputes should be submitted in writing within 30 days of the disputed charge. Citrus Labs will review all disputes and respond within a reasonable timeframe.


9. Termination and Suspension

Grounds for Termination

Citrus Labs reserves the right to suspend or terminate the Admin Account for any violation of these Terms, security breaches, or misconduct.

Violations that may result in termination include but are not limited to: unauthorized access attempts, sharing of credentials, misuse of administrative privileges, or failure to comply with security protocols.

Appeal Process

Administrators subject to termination or suspension may appeal the decision by following the formal appeal process outlined by Citrus Labs. Appeals must be submitted in writing and will be reviewed on a case-by-case basis.

Appeals should include relevant information about the circumstances and any mitigating factors that should be considered. Citrus Labs will review appeals within a reasonable timeframe and provide a decision in writing.

Immediate Revocation

In cases of severe or egregious violations, access may be revoked immediately without prior notice.

Serious security breaches, intentional misuse of administrative privileges, or actions that pose an immediate risk to the platform or its users may result in immediate termination without opportunity for appeal.


10. Dispute Resolution

Informal Resolution

Disputes should first be addressed through informal negotiation between the affected administrator and Citrus Labs.

We encourage open communication to resolve issues efficiently. Most disputes can be resolved through discussion with your account manager or Citrus Labs' support team.

Formal Resolution

If informal resolution fails, disputes will be subject to the jurisdiction of Kenyan courts. Alternative dispute resolution methods, such as mediation or arbitration, may also be employed.

Formal resolution processes will be governed by Kenyan law and conducted in accordance with established legal procedures.

Binding Decision

Any resolution reached through these processes is final and binding on all parties.

Once a final decision has been reached through formal dispute resolution, both parties agree to abide by the terms of the resolution without further appeal.


11. Modifications to Terms

Right to Modify

Citrus Labs reserves the right to update or modify these Terms at any time. Administrators will be notified of significant changes via email and through platform notifications.

Modifications may be made to reflect changes in law, changes to the platform, or other business requirements. Material changes will be communicated clearly with sufficient notice.

Continued Use

Continued use of the Admin Account after modifications signifies acceptance of the updated Terms.

If you disagree with any modifications, you should discontinue use of the Admin Account and contact Citrus Labs to discuss your concerns.

Review Period

Administrators are responsible for reviewing the Terms periodically to remain informed of any changes.

We recommend reviewing these Terms at least quarterly to ensure you remain aware of your rights and obligations as an administrator.


12. Limitation of Liability

Disclaimer of Warranties

The Admin Account and all related services are provided on an "as is" basis without warranties of any kind, either express or implied.

Citrus Labs does not warrant that the platform will meet your specific requirements, or that it will be uninterrupted, timely, secure, or error-free.

Liability Cap

Citrus Labs shall not be liable for any indirect, incidental, consequential, or punitive damages arising from the use of the Admin Account. Liability is limited to the fees paid for administrative services in the preceding 12 months.

This limitation applies to all claims regardless of the legal theory under which they are brought, including breach of contract, negligence, or any other cause of action.

No Guarantee

Citrus Labs does not guarantee uninterrupted or error-free operation of the Platform.

While we strive to maintain high availability and performance, the platform may experience downtime for maintenance, updates, or unforeseen technical issues.


13. Governing Law

Applicable Law

These Terms are governed by and construed in accordance with the laws of Kenya.

The interpretation and enforcement of these Terms shall be subject to Kenyan law, without regard to conflict of law provisions.

Jurisdiction

Any legal actions or proceedings arising from these Terms shall be brought exclusively in the courts of Kenya.

Both parties consent to the exclusive jurisdiction of Kenyan courts for resolving any disputes related to these Terms or the use of the Admin Account.
